Delaware proposes companies run by an AI agent: are we nearing the “bossless company”?
The “AI Companies” proposal would let an AI agent run a company day to day, with a mandatory activity log. Legal scholars push back.
In Delaware, where most large US companies are incorporated, a proposal would create a new legal form: “Artificial Intelligence Companies” (AICs), run day to day by an AI agent. It was presented by Delaware’s Secretary of State together with Norm AI.
- An AIC could own assets and file lawsuits.
- Its single member would be shielded from liability unless the company was undercapitalized or used for fraud.
- The agent would have to keep a log of all its activity.
Lawmakers may consider it in January, with a regulatory sandbox open to applications for 30 months. Law professors are sharply critical; one calls it “a solution in search of a problem”, amid repeated incidents of AI agents going rogue.
What it means for you
You won’t hand your business to an AI agent tomorrow, but the direction is clear: repetitive work is moving to agents. Start safely:
- Automate one small task (FAQ replies, order confirmations) with Make or n8n.
- Keep a log: as the proposal requires, have each automation record what it did in a sheet.
- Keep a human in the loop for anything involving money or upset customers.
